As you navigate the journey of small business ownership, you will arrive at a significant crossroads – a juncture where you can opt to wear the hat of a shareholder (only), focusing on individual aspirations, or you can step into the shoes of a steward. This steward’s role, often donned as a Chief Execution Officer, involves orchestrating the daily operations, or that of a Board of Director, responsible for the overarching governance and sustainability of the business, serving the broader tapestry of stakeholders.

While the shareholder’s journey often centers on personal motives, the steward’s path is illuminated by a collective purpose, dedicated to the holistic well-being of stakeholders and the enduring triumph of your enterprise.

Let’s be real, not every captain must navigate every storm. It’s a strategic move to assess your strengths and embrace your limitations. Leading is more than gripping the wheel, it’s charting the course that matters.

It’s perfectly acceptable to acknowledge that the steward’s role might not be your best fit. The success of your business is an ensemble of skills, and sometimes, the smartest choice is entrusting the stewardship to someone whose skills and competence align seamlessly.

That being said….. I’m going to assume you’re up for the challenge, ready to embrace your stewardship role with enthusiasm. Your golden insight lies in the selection process. Ultimately, you need reliable, trusted individuals whose aspirations resonate with your company’s values and interests. You require a team of directors and advisors who bring diverse wisdom from various corners of the business world. These are not just experts; they embody the true spirit of independence and ethics. Essentially, they become your “Guardians of Trust.”

What Does It Mean To Embody The True Spirit Of Independence And Ethics?

Amidst the intricate maze of theories, this question ignited my contemplation. What does independence and ethics really mean?

To me, independent and ethical directors are the pioneers who challenge conventions, the masterminds of innovation who question assumptions. They stand firm as unwavering sentinels of righteousness, even if it means taking the less-traveled path. With these guardians at your side, your business’s compass remains resolute, guiding you steadfastly toward growth, responsibility, and an ethical triumph.

Independence is akin to a crystal-clear lens, enabling objective views and unbiased judgment. It’s the liberation from the clutches of conflicts of interest, those subtle forces that could sway decisions.

Imagine having a director on your Board who also serves a competing company. Can they truly prioritize the best interests of your business? Then consider a director juggling multiple boards. While competence is crucial, can one truly give their all when stretched too thin? These are some of the questions to ponder when selecting your directors. Conflicting loyalties and career-focused directors are common, but your business deserves unwavering dedication.

And when it comes to ethics, I’m sure you would have heard its definition of an unwavering commitment to doing what’s right, no matter the circumstances. Let’s envision this scenario….. Your business is facing financial strain, and a director suggests cutting corners by avoiding necessary regulatory processes to save costs. It might seem like a quick fix, but the repercussions could include legal penalties, reputational damage, and a compromised business future. You want the directors on your team to do the right thing, seeing beyond the immediate gain and steer the company toward compliance and long-term success.

Exploring Directorship Beyond Independence and Ethics

While independence, ethics, good judgment, and unwavering integrity are undoubtedly paramount qualities for directors, there’s a broader spectrum of attributes that intertwine with these foundations.

Consider the basic prerequisites. A director must be at least eighteen years of age, mentally fit as defined by the Mental Health Act of Trinidad and Tobago, and not an undischarged bankrupt, whether under local or foreign law. These stipulations are outlined in the Companies Act of Trinidad and Tobago and hold profound significance.

Beyond the prerequisites, being a director is like weaving a tapestry of skills, knowledge, and viewpoints. Each thread guides the business to exceptional success. Where skills and competencies are concern, it’s imperative to cast your net wider than your immediate industry. A truly empowered directorial team encompasses diverse expertise across a spectrum of disciplines. While finding a single director embodying all domains might be an arduous task, it is advised to initially pinpoint at max four pivotal facets of your business that merit specialized insight.

Consider, too, the wisdom of inviting a visionary from a complementary industry, infusing your board with fresh insights and innovative approaches. Harnessing knowledge from a parallel sector can bestow your enterprise with precious leverage, arming you with novel techniques and a dynamic vantage point when surmounting hurdles.

This might feel like a lot, yet effective directorship encompasses more than the already mentioned attributes.  To be clear you want to recruit a capable director who wholeheartedly embraces accountability, fully grasping how their decisions will reverberate throughout your business. Their hallmark is clear, transparent communication, fostering openness, nurturing trust, and crafting a collaborative atmosphere. A perpetual learner, someone who recognizes their duty of care to stakeholders, they understand that ongoing education is vital. This may seem like diving into an ocean of information, but their commitment ensures their choices are rooted in sagacity and foresight. This sets your business on a trajectory of promise, navigating within legal boundaries, and cherishing its precious reputation.
